Corporate Development Counsel

Job Summary

A company is looking for a Corporate Development Counsel.

Key Responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments
• Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required Qualifications

• Juris Doctor (J.D.) from an accredited law school with active state bar membership
• At least 4 years of relevant legal experience with a focus on M&A, including drafting and negotiating complex transaction agreements
• Experience at a law firm in its M&A/Corporate practice is strongly preferred
• Proven ability to understand business objectives and apply legal principles in a pragmatic manner
• Familiarity with contract lifecycle management tools or legal technology is a plus
