Corporate Development Counsel

Job Summary

A company is looking for a Corporate Development Counsel.

Key Responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments
• Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required Qualifications

• Juris Doctor (J.D.) from an accredited law school with active state bar membership
• At least 4 years of relevant legal experience, particularly in M&A
• Experience in drafting and negotiating complex transaction agreements
• Preferred experience at a law firm in M&A/Corporate practice or in-house at a technology or high-growth company
• Strong understanding of corporate law, contract law, and securities law
