Corporate Development Counsel

Job Summary

A company is looking for a Corporate Development Counsel.

Key Responsibilities

• Structure, draft, and negotiate transaction documents for acquisitions, divestitures, and strategic investments
• Lead the legal due diligence process and summarize findings for business stakeholders
• Provide strategic legal advice to the Corporate Development team and manage outside counsel on transactions

Required Qualifications

• Juris Doctor (J.D.) from an accredited law school with active state bar membership
• At least 4 years of relevant legal experience with a focus on M&A
• Experience in drafting and negotiating complex transaction agreements
• In-house experience at a technology or high-growth company is a plus
• Strong understanding of corporate law, contract law, and securities law
