Job Summary

A company is looking for a Corporate Development Counsel.

Key Responsibilities
  • Structure, draft, and negotiate transaction documents for acquisitions, divestitures, and strategic investments
  • Lead and manage the legal due diligence process, coordinating with internal specialists and summarizing findings
  • Serve as the primary legal advisor to the Corporate Development team and collaborate with various stakeholders to ensure alignment with business objectives
Required Qualifications
  • Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
  • At least 4 years of relevant legal experience with a focus on M&A, including drafting and negotiating complex agreements
  • Experience in a law firm's M&A/Corporate practice is preferred; in-house experience at a tech or high-growth company is a plus
  • Expertise in corporate law, contract law, and securities law
  • Demonstrated ability to apply legal principles in a pragmatic, risk-based manner
