Job Summary
A company is looking for a Corporate Development Counsel.
Key Responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments
- Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
- Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategy
Required Qualifications
- Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
- At least 4 years of relevant legal experience with a focus on M&A, including hands-on experience in drafting and negotiating complex transaction agreements
- Experience at a law firm in its M&A/Corporate practice is strongly preferred; in-house experience at a technology or high-growth company is a plus
- Expertise in all facets of the M&A lifecycle and a strong understanding of corporate law, contract law, and securities law
- Proven ability to manage multiple complex projects simultaneously in high-pressure situations
