Job Summary
A company is looking for a Corporate Development Counsel.
Key Responsibilities
- Structure, draft, and negotiate transaction documents for acquisitions, divestitures, and strategic investments
- Lead and manage the legal due diligence process, coordinating with internal specialists and summarizing findings
- Serve as the primary legal advisor to the Corporate Development team and collaborate with various stakeholders to align transactions with business objectives
Required Qualifications
- Juris Doctor (J.D.) from an accredited law school with active bar membership in at least one state
- At least 4 years of relevant legal experience, particularly in M&A, with hands-on experience in drafting and negotiating complex agreements
- Expertise in corporate law, contract law, and securities law
- Experience at a law firm in its M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
- Proven ability to manage multiple complex projects under tight deadlines
