Corporate Development Counsel

Job Summary

To support corporate growth initiatives, the full-time Corporate Development Counsel will manage the legal aspects of M&A and strategic investments, including structuring, negotiating, and closing transactions, while collaborating closely with senior leadership and various business teams in a remote setting.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
• Minimum of 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting and negotiating complex agreements
• Expertise in corporate law, contract law, and securities law
• Experience in managing multiple complex projects simultaneously under tight deadlines
• Familiarity with contract lifecycle management tools or legal technology is a plus
