Corporate Development Counsel

Job Summary

To support a growing corporate team, the full-time Corporate Development Counsel will manage legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while collaborating with senior leadership and various business units remotely.

Key responsibilities

• Structure, draft, and negotiate transaction documents for acquisitions and investments
• Lead the legal due diligence process and summarize findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active bar membership
• At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting and negotiating complex agreements
• Expertise in corporate law, contract law, and securities law
• Experience in managing multiple complex projects under tight deadlines
• Familiarity with contract lifecycle management tools or legal technology is a plus
