Corporate Development Counsel

Job Summary

To support corporate headquarters in Columbia, MO, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions while collaborating closely with senior leadership and various business teams.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
• Minimum of 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting and negotiating complex agreements
• Expertise in corporate law, contract law, and securities law
• Experience at a law firm in its M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
• Proven ability to manage multiple complex projects simultaneously and communicate legal issues clearly to non-legal stakeholders
