Job Summary
Seeking a full-time Corporate Development Counsel to manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and overseeing transaction documents, while collaborating with senior leadership and various stakeholders in a remote setting.
Key responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions and investments
- Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists
- Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
- Minimum of 4 years of relevant legal experience, with a focus on M&A
- Direct experience in drafting and negotiating complex transaction agreements
- Expertise in corporate law, contract law, and securities law
- Experience in a law firm's M&A/Corporate practice or in-house at a technology or high-growth company is preferred
