Corporate Development Counsel

Job Summary

To support corporate growth, the full-time Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and overseeing transactions in a remote work environment.

Key responsibilities

• Structure, draft, and negotiate transaction documents for acquisitions and investments
• Lead the legal due diligence process, coordinating with internal specialists and summarizing findings
• Serve as the primary legal advisor to the Corporate Development team and collaborate with various stakeholders

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active bar membership
• At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting and negotiating complex agreements
• Expertise in corporate law, contract law, and securities law
• Experience in a law firm's M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
• Demonstrated ability to apply legal principles pragmatically and communicate complex legal issues to non-legal stakeholders
