Job Summary
Supporting the Corporate HQ remotely, the full-time salaried Corporate Development Counsel will manage legal aspects of M&A and strategic investment activities, including structuring, due diligence, negotiation, and integration.
Key responsibilities
- Structure, draft, and negotiate transaction documents for acquisitions, divestitures, and strategic investments
- Lead and manage the end-to-end legal due diligence process while coordinating with internal specialists
- Serve as the primary legal advisor to the Corporate Development team and provide strategic advice on deal structures and negotiation strategies
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
- At least 4 years of relevant legal experience with significant focus on M&A, including hands-on experience in drafting and negotiating complex agreements
- Expertise in corporate law, contract law, and securities law
- Experience at a law firm in its M&A/Corporate practice is strongly preferred
- Demonstrated ability to apply legal principles in a pragmatic, risk-based manner
