Job Summary
Seeking a full-time Corporate Development Counsel, this remote position will manage the legal aspects of M&A and strategic investment activities, including structuring, drafting, and negotiating transaction documents, leading due diligence processes, and providing strategic legal advice to business leaders.
Key responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions and investments
- Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings
- Serve as the primary legal advisor to the Corporate Development team and collaborate with various stakeholders to align transactions with business objectives
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
- At least 4 years of relevant legal experience, with a focus on M&A and hands-on experience in drafting complex transaction agreements
- Expertise in corporate law, contract law, and securities law
- Experience at a law firm in M&A/Corporate practice is strongly preferred; in-house experience at a technology or high-growth company is a plus
- Proven ability to manage multiple complex projects simultaneously under tight deadlines
