Corporate Development Counsel

Job Summary

To support corporate growth, the full-time Corporate Development Counsel will manage legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while collaborating closely with senior leadership and various business teams in a remote capacity.

Key Responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and strategic investments
• Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required Qualifications

• Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
• At least 4 years of relevant legal experience, particularly in M&A, including hands-on experience in drafting and negotiating complex transaction agreements
• Expertise in corporate law, contract law, and securities law
• Proven ability to manage multiple complex projects simultaneously under tight deadlines
• Experience in both law firm and in-house settings, particularly within technology or high-growth companies, is preferred
