Job Summary
Seeking a full-time Corporate Development Counsel to manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and overseeing transactions, while collaborating with senior leadership and business teams in a remote work environment.
Key responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions and investments
- Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
- Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active bar membership in at least one state
- At least 4 years of relevant legal experience focused on M&A, including drafting and negotiating complex transaction agreements
- Expertise in corporate law, contract law, and securities law
- Experience at a law firm in M&A/Corporate practice is strongly preferred
- Proven ability to manage multiple complex projects simultaneously in high-pressure situations
