Corporate Development Counsel

Job Summary

Seeking a full-time Corporate Development Counsel, this remote position will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and overseeing transactions while collaborating with senior leadership and cross-functional teams.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments
• Lead and manage the end-to-end legal due diligence process, coordinating internal specialists and summarizing key risks for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
• Minimum of 4 years of relevant legal experience, particularly in M&A, including hands-on experience in drafting and negotiating complex transaction agreements
• Expertise in corporate law, contract law, and securities law
• Experience at a law firm in its M&A/Corporate practice is strongly preferred; in-house experience at a technology or high-growth company is a plus
• Demonstrated ability to apply legal principles pragmatically and manage multiple complex projects under tight deadlines
