Corporate Development Counsel

Job Summary

To support corporate headquarters in Columbia, MO, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions while collaborating closely with senior leadership and business teams in a remote environment.

Key responsibilities

• Structure, draft, and negotiate transaction documents for acquisitions and investments
• Lead the legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Provide strategic legal advice to the Corporate Development team and manage outside counsel on transactions

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active state bar membership
• At least 4 years of relevant legal experience focused on M&A, including drafting and negotiating complex agreements
• Expertise in corporate law, contract law, and securities law
• Experience in managing multiple complex projects under tight deadlines
• Strong understanding of business objectives and ability to apply legal principles pragmatically
