Job Summary
To support a growing corporate team, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and overseeing due diligence processes, while collaborating closely with senior leadership and various stakeholders in a remote work environment.
Key responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions and investments
- Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings
- Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active bar membership
- At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting complex transaction agreements
- Expertise in corporate law, contract law, and securities law
- Experience in a law firm's M&A/Corporate practice is strongly preferred
- Proven ability to manage multiple complex projects under tight deadlines
