Job Summary
Seeking a full-time Corporate Development Counsel to manage legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while working remotely and collaborating closely with senior leadership and various business teams.
Key responsibilities
- Structure, draft, and negotiate transaction documents for acquisitions, divestitures, and strategic investments
- Lead the legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
- Provide strategic legal advice to the Corporate Development team and manage outside counsel on M&A transactions
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active bar membership in at least one state
- Minimum of 4 years of relevant legal experience with a focus on M&A, including hands-on experience in drafting and negotiating complex agreements
- Expertise in corporate law, contract law, and securities law
- Experience at a law firm in M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
- Ability to communicate complex legal issues clearly to non-legal stakeholders
