Corporate Development Counsel

Job Summary

To support corporate headquarters, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and overseeing transactions in a remote environment.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active state bar membership
• At least 4 years of relevant legal experience with a focus on M&A, including hands-on experience in drafting complex transaction agreements
• Expertise in corporate law, contract law, and securities law
• Experience in managing multiple complex projects simultaneously under tight deadlines
• Familiarity with contract lifecycle management tools or legal technology is a plus
