Job Summary
Supporting the Corporate HQ, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, drafting, and negotiating transaction documents while collaborating closely with senior leadership and various business teams in a remote setting.
Key responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments
- Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
- Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
- At least 4 years of relevant legal experience, primarily focused on M&A, with hands-on experience in drafting and negotiating complex transaction agreements
- Expertise in all facets of the M&A lifecycle and a strong understanding of corporate, contract, and securities law
- Experience at a law firm in its M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
- Ability to manage multiple complex projects simultaneously and navigate tight deadlines effectively
