Job Summary
Supporting the Corporate HQ in Columbia, MO, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while collaborating closely with senior leadership and various stakeholders in a remote work environment.
Key responsibilities
- Structure, draft, and negotiate transaction documents for acquisitions, divestitures, and strategic investments
- Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
- Provide strategic legal advice to the Corporate Development team and manage outside counsel on M&A transactions
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active state bar membership
- At least 4 years of relevant legal experience focused on M&A, with hands-on experience in drafting and negotiating complex agreements
- Expertise in corporate law, contract law, and securities law
- Experience in a law firm's M&A/Corporate practice is strongly preferred; in-house experience at a technology or high-growth company is a plus
- Ability to communicate complex legal issues clearly to non-legal stakeholders
