Corporate Development Counsel

Job Summary

Supporting the Corporate HQ in Columbia, MO, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and overseeing due diligence processes while collaborating closely with senior leadership and various business teams in a remote setting.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
• At least 4 years of relevant legal experience, particularly in M&A, with hands-on experience in drafting and negotiating complex transaction agreements
• Expertise in corporate law, contract law, and securities law
• Experience in managing multiple complex projects under tight deadlines
• Preferred experience at a law firm in its M&A/Corporate practice or in-house at a technology or high-growth company
