Job Summary

Supporting the Corporate HQ, the full-time Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while collaborating closely with senior leadership and various business teams in a remote environment.

Key responsibilities
  • Structure, draft, and negotiate key transaction documents for acquisitions and strategic investments
  • Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings
  • Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies
Required qualifications
  • Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
  • At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting and negotiating complex transaction agreements
  • Expertise in corporate law, contract law, and securities law
  • Proven ability to manage multiple complex projects and navigate tight deadlines
  • Experience at a law firm in its M&A/Corporate practice is strongly preferred; in-house experience at a technology or high-growth company is a plus
