Job Summary
To support corporate headquarters, the full-time Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while collaborating closely with senior leadership and various business teams in a remote capacity.
Key responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions and investments
- Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings
- Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active state bar membership
- At least 4 years of relevant legal experience with a focus on M&A, including hands-on experience in drafting and negotiating complex agreements
- Expertise in corporate law, contract law, and securities law
- Experience in a law firm's M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
- Demonstrated ability to apply legal principles in a pragmatic, risk-based manner
