Job Summary
To support corporate headquarters operations, the full-time Corporate Development Counsel will manage legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while collaborating with senior leadership and various stakeholders in a remote work environment.
Key responsibilities
- Structure, draft, and negotiate transaction documents for acquisitions and investments
- Lead the legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
- Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active state bar membership
- At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting and negotiating complex agreements
- Expertise in corporate law, contract law, and securities law
- Experience at a law firm in its M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
- Demonstrated ability to apply legal principles in a pragmatic, risk-based manner
