Job Summary
To support corporate headquarters, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while collaborating closely with senior leadership and various business teams in a remote work environment.
Key responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments
- Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
- Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
- At least 4 years of relevant legal experience with a significant focus on M&A, including direct experience in drafting and negotiating complex transaction agreements
- Expertise in all facets of the M&A lifecycle and strong understanding of corporate, contract, and securities law
- Proven ability to manage multiple complex projects simultaneously under tight deadlines
- Experience at a law firm in its M&A/Corporate practice is strongly preferred, with in-house experience at a technology or high-growth company as a significant plus
