Corporate Development Counsel

Job Summary

Supporting the Corporate HQ remotely, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and overseeing due diligence processes.

Key responsibilities

• Structure, draft, and negotiate transaction documents for acquisitions and investments
• Lead the legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active state bar membership
• At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting complex agreements
• Expertise in corporate law, contract law, and securities law
• Experience at a law firm in M&A/Corporate practice is preferred; in-house experience at a technology company is a plus
• Ability to communicate complex legal issues clearly to non-legal stakeholders
