Corporate Development Counsel

Job Summary

Seeking a full-time Corporate Development Counsel to manage the legal aspects of M&A and strategic investment activities, including structuring, drafting, negotiating transaction documents, and providing legal advice to business leaders in a remote setting.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic and tactical advice on deal structures and negotiation strategies

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
• Minimum of 4 years of relevant legal experience, focusing on M&A, with hands-on experience in drafting and negotiating complex agreements
• Expertise in corporate law, contract law, and securities law
• Experience at a law firm in its M&A/Corporate practice is strongly preferred
• Ability to manage multiple complex projects simultaneously in a fast-paced environment
