Corporate Development Counsel

Job Summary

To support corporate growth initiatives, the full-time Corporate Development Counsel will manage legal aspects of M&A and strategic investment activities, including structuring, negotiating, and overseeing transaction documents, while collaborating closely with senior leadership and various business teams in a remote work environment.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead the legal due diligence process and coordinate with internal specialists to manage risks
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active state bar membership
• At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting complex agreements
• Expertise in corporate law, contract law, and securities law
• Proven ability to manage multiple complex projects under tight deadlines
• Experience at a law firm in M&A/Corporate practice is preferred; in-house experience at a technology company is a plus
