Corporate Development Counsel

Job Summary

Supporting the Corporate HQ remotely, the full-time Corporate Development Counsel will manage legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions while collaborating with senior leadership and various stakeholders.

Key responsibilities

• Structure, draft, and negotiate transaction documents for acquisitions and investments
• Lead and manage the legal due diligence process, coordinating with internal specialists
• Serve as the primary legal advisor to the Corporate Development team and provide strategic advice on deal structures

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active bar membership
• At least 4 years of relevant legal experience, focusing on M&A with hands-on experience in drafting complex agreements
• Expertise in corporate law, contract law, and securities law
• Experience in a law firm's M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
• Ability to communicate complex legal issues clearly to non-legal stakeholders
