Corporate Development Counsel

Job Summary

Supporting the Corporate HQ in Columbia, MO, the full-time Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while collaborating closely with senior leadership and various business teams in a remote environment.

Key responsibilities

• Structure, draft, and negotiate transaction documents for acquisitions and investments
• Lead the legal due diligence process and manage internal specialists to assess risks
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active state bar membership
• At least 4 years of relevant legal experience focused on M&A, with hands-on experience in drafting and negotiating complex agreements
• Expertise in corporate law, contract law, and securities law
• Proven ability to manage multiple complex projects under tight deadlines
• Experience at a law firm in its M&A/Corporate practice is strongly preferred
