Corporate Development Counsel

Job Summary

Supporting the Corporate HQ in Columbia, MO, the full-time Corporate Development Counsel will manage legal aspects of M&A and strategic investment activities, including structuring, drafting, and negotiating transaction documents, while collaborating with senior leadership and various business teams in a remote work environment.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Provide strategic legal advice to the Corporate Development team and manage outside counsel on M&A transactions

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active state bar membership
• At least 4 years of relevant legal experience with a focus on M&A, including hands-on experience in drafting and negotiating complex agreements
• Expertise in corporate law, contract law, and securities law
• Experience in a law firm's M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
• Demonstrated ability to apply legal principles pragmatically and manage multiple complex projects under tight deadlines
