Job Summary
To support strategic growth initiatives, the full-time salaried Corporate Development Counsel will manage legal aspects of M&A and investment activities, including structuring, negotiating, and overseeing transactions in a remote work environment.
Key responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions and strategic investments
- Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
- Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active bar membership in at least one state
- Minimum of 4 years of relevant legal experience, focusing on M&A, including drafting and negotiating complex transaction agreements
- Expertise in corporate law, contract law, and securities law
- Experience in managing multiple complex projects under tight deadlines
- Familiarity with contract lifecycle management tools or legal technology is a plus
