Corporate Development Counsel

Job Summary

To support corporate headquarters in Columbia, MO, the full-time Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, drafting, and negotiating transaction documents, while collaborating closely with senior leadership and business teams in a remote work environment.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active bar membership in at least one state
• Minimum of 4 years of relevant legal experience with a strong focus on M&A, including hands-on experience in drafting complex transaction agreements
• Expertise in corporate law, contract law, and securities law
• Experience at a law firm in its M&A/Corporate practice or in-house experience at a technology or high-growth company is preferred
• Proven ability to manage multiple complex projects simultaneously under tight deadlines
