Job Summary
To support corporate growth initiatives, the full-time salaried Corporate Development Counsel will manage legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while collaborating closely with senior leadership and various business teams in a remote work environment.
Key responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions and investments
- Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
- Provide strategic legal advice to the Corporate Development team and manage outside counsel on M&A transactions
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
- Minimum of 4 years of relevant legal experience, focusing on M&A with hands-on experience in drafting complex transaction agreements
- Expertise in corporate law, contract law, and securities law
- Experience in a law firm's M&A/Corporate practice is strongly preferred; in-house experience at a technology or high-growth company is a plus
- Ability to manage multiple complex projects simultaneously and communicate legal concepts clearly to non-legal stakeholders
