Corporate Development Counsel

Job Summary

Supporting the Corporate HQ remotely, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, drafting, and negotiating transaction documents while collaborating closely with senior leadership and various business teams.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead the end-to-end legal due diligence process and manage internal specialists
• Serve as the primary legal advisor to the Corporate Development team and provide strategic advice on deal structures

Required qualifications

• Juris Doctor (J.D.) with active membership in at least one state bar
• Minimum of 4 years of relevant legal experience, particularly in M&A
• Experience drafting and negotiating complex transaction agreements
• Strong understanding of corporate law, contract law, and securities law
• Experience in a law firm's M&A/Corporate practice is preferred; in-house experience at a technology company is a plus
