Corporate Development Counsel

Job Summary

To support corporate headquarters in Columbia, MO, the full-time salaried Corporate Development Counsel will manage legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions while collaborating closely with senior leadership and business teams in a remote environment.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active bar membership
• At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting complex transaction agreements
• Expertise in corporate law, contract law, and securities law
• Proven ability to manage multiple complex projects simultaneously under tight deadlines
• Experience in a law firm's M&A/Corporate practice or in-house at a technology or high-growth company is preferred
