Corporate Development Counsel

Job Summary

To support corporate headquarters in Columbia, MO, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while collaborating closely with senior leadership and various business teams in a remote environment.

Key responsibilities

• Structure, draft, and negotiate transaction documents for acquisitions and strategic investments
• Lead the end-to-end legal due diligence process and summarize findings for stakeholders
• Provide strategic legal advice to the Corporate Development team and manage outside counsel on transactions

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active bar membership
• At least 4 years of relevant legal experience focused on M&A, including drafting and negotiating complex agreements
• Expertise in corporate law, contract law, and securities law
• Experience at a law firm in M&A/Corporate practice preferred; in-house experience at a technology or high-growth company is a plus
• Ability to communicate complex legal issues clearly to non-legal stakeholders
