Corporate Development Counsel

Job Summary

To support corporate headquarters in Columbia, MO, the full-time Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions while collaborating with senior leadership and various stakeholders in a remote environment.

Key responsibilities

• Structure, draft, and negotiate transaction documents for acquisitions and investments
• Lead the legal due diligence process, coordinating with internal specialists and summarizing findings
• Provide strategic legal advice to the Corporate Development team and manage outside counsel on transactions

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active bar membership
• At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting complex agreements
• Expertise in corporate law, contract law, and the M&A lifecycle
• Experience in a law firm's M&A practice is preferred; in-house experience at a tech or high-growth company is a plus
• Proven ability to manage multiple projects under tight deadlines and communicate legal issues to non-legal stakeholders
