Job Summary
Supporting the Corporate HQ remotely, the full-time Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions while collaborating closely with senior leadership and various business teams.
Key responsibilities
- Structure, draft, and negotiate transaction documents for acquisitions, divestitures, and strategic investments
- Lead and manage the legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
- Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
- At least 4 years of relevant legal experience focused on M&A, including drafting and negotiating complex transaction agreements
- Expertise in corporate law, contract law, and securities law
- Proven ability to manage multiple complex projects and navigate high-pressure situations
- Experience in a law firm's M&A/Corporate practice or in-house at a technology or high-growth company is preferred
