Corporate Development Counsel

Job Summary

Supporting the Corporate HQ remotely, the full-time Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring and negotiating transaction documents, leading due diligence processes, and providing strategic legal advice to business leaders.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiations

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active bar membership
• At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting and negotiating complex agreements
• Expertise in corporate law, contract law, and securities law
• Experience at a law firm in its M&A/Corporate practice is strongly preferred
• Proven ability to manage multiple complex projects and navigate high-pressure situations
