Job Summary
To support a growing corporate practice, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions in a remote work environment.
Key responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions and investments
- Lead the end-to-end legal due diligence process, coordinating with internal specialists
- Serve as the primary legal advisor to the Corporate Development team and collaborate with various stakeholders
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active state bar membership
- At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting complex agreements
- Expertise in corporate law, contract law, and securities law
- Experience in both law firm and in-house settings, particularly in technology or high-growth companies
- Proven ability to manage multiple complex projects under tight deadlines
