Corporate Development Counsel

Job Summary

Supporting the Corporate HQ in Columbia, MO, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, drafting, and negotiating transaction documents, while collaborating closely with senior leadership and various business teams in a remote environment.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments
• Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic and tactical advice on deal structures and negotiation strategy

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
• At least 4 years of relevant legal experience, with a significant focus on M&A and hands-on experience in drafting and negotiating complex transaction agreements
• Expertise in all facets of the M&A lifecycle, corporate law, contract law, and securities law
• Experience at a law firm in its M&A/Corporate practice is strongly preferred; in-house experience at a technology or high-growth company is a plus
• Demonstrated ability to apply legal principles in a pragmatic, risk-based manner while managing multiple complex projects simultaneously
