Corporate Development Counsel

Job Summary

Supporting the Corporate HQ remotely, the full-time Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions while collaborating with senior leadership and various business teams.

Key responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions and investments
• Lead the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Provide strategic legal advice to the Corporate Development team and partner with various organizational stakeholders to align transactions with business objectives

Required qualifications

• Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
• At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting and negotiating complex transaction agreements
• Expertise in the M&A lifecycle and a strong understanding of corporate law, contract law, and securities law
• Experience at a law firm in its M&A/Corporate practice is strongly preferred; in-house experience at a technology or high-growth company is a plus
• Proven ability to manage multiple complex projects simultaneously and communicate legal issues clearly to non-legal stakeholders
