Job Summary
The full-time salaried Corporate Development Counsel (MO Licensed) will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while working remotely and collaborating closely with senior leadership and business teams.
Key responsibilities
- Structure, draft, and negotiate key transaction documents for acquisitions and strategic investments
- Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
- Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies
Required qualifications
- Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
- At least 4 years of relevant legal experience with a significant focus on M&A
- Expertise in all facets of the M&A lifecycle, corporate law, and contract law
- Experience drafting and negotiating complex transaction agreements
- In-house experience at a technology or high-growth company is a significant plus
