Job Summary
To support corporate growth, the full-time salaried Corporate Development Counsel (State Licensed) will manage legal aspects of M&A and strategic investment activities, including structuring, negotiating, and overseeing due diligence processes, while collaborating with senior leadership and various business teams in a remote work environment.
Key Responsibilities
- Structure, draft, and negotiate transaction documents for acquisitions and investments
- Lead the legal due diligence process, coordinating with internal specialists and summarizing findings
- Provide strategic legal advice to the Corporate Development team and oversee outside counsel on transactions
Required Qualifications
- Juris Doctor (J.D.) from an accredited law school with active state bar membership
- At least 4 years of relevant legal experience with a focus on M&A
- Proven experience in drafting and negotiating complex transaction agreements
- Strong understanding of corporate law, contract law, and securities law
- Experience in a law firm's M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
