Corporate Governance Counsel - Florida Licensed

Job Summary

Providing specialized legal counsel, the full-time salaried Corporate Governance Counsel - Florida Licensed will support the Board of Directors and its committees by offering governance advice, managing Board materials, and ensuring compliance with regulatory requirements in a remote capacity.

Key Responsibilities:

• Provide comprehensive legal counsel and advisory services to the Board of Directors and its committees on governance frameworks and regulatory matters
• Develop and update corporate governance policies and procedures to ensure compliance with applicable laws and best practices
• Prepare and manage Board meeting materials, ensuring proper documentation and confidentiality of Board information

Required Qualifications:

• Juris Doctorate degree from an accredited law school with 8-12 years of professional legal experience
• Admission to at least one state bar, with the ability to be certified in Florida as Authorized House Counsel if admitted elsewhere
• Demonstrated expertise in corporate governance and Board administration
• Strong knowledge of corporate and commercial law, including contract analysis
• Experience advising boards of directors or senior leadership on governance and compliance matters
