Job Summary
Supporting the Legal Department, the full-time Corporate Governance Paralegal will manage Board activities, maintain corporate records, and assist with compliance and due diligence tasks in a hybrid work environment.
Key responsibilities:
- Prepare Board and committee meeting materials, maintain corporate calendars, and assist with resolutions and minute books
- Manage entity formation, qualification, and dissolution filings, ensuring compliance across multiple states
- Support due diligence for strategic transactions by organizing data rooms and coordinating document production
Required qualifications:
- Paralegal certificate, associate's degree in paralegal studies, or bachelor's degree with paralegal certification or equivalent experience
- 8+ years of experience as a corporate paralegal with expertise in corporate governance and entity management
- Experience preparing Board materials and maintaining corporate minute books
- Familiarity with due diligence and data room management
- Proficiency with corporate governance and entity management software platforms
