Corporate Governance VP

Job Summary

Serving as the primary legal architect for corporate financing and governance, the full-time salaried Capital Markets & Corporate Governance VP will manage complex capital transactions and ensure compliance with U.S. securities laws while working remotely or from the NYC office.

Key responsibilities

• Architect and execute the legal strategy for capital markets transactions, including equity offerings and IPO readiness
• Ensure timely preparation and filing of SEC regulatory submissions, maintaining accuracy and compliance
• Direct corporate governance frameworks, advising on board policies and shareholder relations

Required qualifications

• Juris Doctor (J.D.) degree from an accredited law school with an active license to practice law in the U.S
• 12+ years of experience in corporate finance and securities law from a top-tier law firm and in-house public company
• Proven track record of managing IPO processes and sophisticated debt issuances
• Expertise in SEC rules, corporate disclosure requirements, and corporate governance frameworks
• Strong communication skills to convey complex legal concepts to C-level executives and board members
