Job Summary
Serving as the primary legal architect for corporate financing and governance, the full-time salaried Capital Markets & Corporate Governance VP will manage complex capital transactions and ensure compliance with U.S. securities laws while working remotely or from the NYC office.
Key responsibilities
- Architect and execute the legal strategy for capital markets transactions, including equity offerings and IPO readiness
- Ensure timely preparation and filing of SEC regulatory submissions, maintaining accuracy and compliance
- Direct corporate governance frameworks, advising on board policies and shareholder relations
Required qualifications
- Juris Doctor (J.D.) degree from an accredited law school with an active license to practice law in the U.S
- 12+ years of experience in corporate finance and securities law from a top-tier law firm and in-house public company
- Proven track record of managing IPO processes and sophisticated debt issuances
- Expertise in SEC rules, corporate disclosure requirements, and corporate governance frameworks
- Strong communication skills to convey complex legal concepts to C-level executives and board members
